How can I control my company with a nominee director?

What is a Limited Company?
A company in which the liability of the members in respect of the company’s debts is limited. It may be limited in shares, in which case the liability of the members on a winding-up is limited to the amount (if any) unpaid on their shares. This is by far the most common type of registered company. What are the differences between a company that is limited by guarantee and a company that is limited by shares?
A guarantee company does not have shares. The members of the company do not own the company but are the decision makers for the company. This means that the profits of the company cannot be distributed to the members through dividends and that they do not have any claim upon the assets of the company. The members of the company may appoint Directors often called 'Trustees', who are given the responsibility for creating and implementing policies for the company.

What is the difference between a notarized document and an apostille document?
A notarized document is a copy of the document which is certified to be a true copy of the original and signed (notarized) by the one who is a registered Notary Public. This notary public is usually an attorney a lawyer or a justice of the peace. An apostille to a document is the authentication, by a specially appointed government official, of a copy of a public document which has been notarized as a true copy by a notary public. The apostille is accepted under Hague convention of 1961 to all the countries which are signatories to it. Not all countries of the world are members of The Hague convention, but the majority of English speaking and European countries are members.

This POA can be general (unlimited) or it can be of a limited nature, that is, the authority can be in all matters pertaining to the company or it can be limited to a specific function. The POA can also be time specific, that is for a fixed period in time with an expiry date or it can be in perpetuity.
What is a Certificate of Good Standing?
A Certificate of Good Standing is an official document, issued by the Registrar of Companies, confirming that a particular company legally exists, has complied with all administrative requirements pertaining to its continued registration and has paid all government dues, and, therefore, is "in good standing" in the Companies Register as of the given date. In its form, the Certificate of Good Standing largely resembles the initial Certificate of Incorporation of the company.
