A nominee director, also known under the more modern name of "third-party director", is a third party, who would be officially registered and acts as a Director of an offshore company. As is common, nominee directors are provided by licensed Registered Agent firms to their client companies as an optional service. In-house directors, being either private individuals or dedicated corporate bodies, operate under the umbrella license of the Registered Agent.
The main objective of a having a nominee director is to prevent the general public from knowing that a direct relationship actually exists between the beneficial owner and his offshore company. Employing a nominee director or a nominee manager for an offshore company helps to offset potential implications that the beneficial owner is closely involved in the control and operation of the particular offshore company (the “management and control” concept). The main purpose of the nominee director is to facilitate the confidentiality of the client.
The nominee director may perform various administrative functions which would otherwise would have to be performed by somebody directly related to the company. The actual involvement of the nominee director in the day-to-day matters of the offshore company may vary in accordance with the necessities, wishes and circumstances of the client.
Coddan nominee director service is used to ensure the highest degree of privacy and confidentiality. The basic function of the Nominee Director is to shield working executives of Limited and other companies from the public disclosure requirements that exist in the UK, BVI and other jurisdictions.
Our nominee services offer carefully structured arrangements that keep your personal information off the public record while ensuring full legality. We offer three types of nominee, Nominee Director, Nominee Shareholder and Nominee Company Secretary. These services all differ slightly, but in each case the nominees name is filed with the Companies Registry so that any person carrying out a company search would see the nominees name and not our clients. We will handle any signing of documents on your instruction.
Our nominee director service works in the following way. We appoint a corporation, usually Coddan CPM Ltd as director. Any person or organisation carrying out a company search will see Coddan appearing on the company records. They will not see the name of our client.
To enable our client to operate the company, as if they were director we provide them with a power of attorney, which is a legal document empowering them to manage the company's activities. We also provide the client with a nominee director agreement which defines the limitations of our role as nominee. Both the power of attorney and nominee director agreement are confidential documents designed to ensure our clients privacy. We can provide the beneficial owner with a Power of Attorney empowering him to run the business, manage the company's activities and open and operate the company's bank accounts.
We shall ensure:
We can be your nominee Director in your BVI company. We can be your nominee Manager or Member in your Limited Partnership. A nominee director is someone who in fact is renting his or her name to you. In other words, the name of this person is used and not yours for the incorporation documents. They are also taking the positions on paper of the company directors. The term of straw man or front man has been used to describe someone who is acting as the nominee.
Coddan can provide a nominee company director and secretary for your private limited company or for your limited liability partnership. It means you can still operate a limited company as sole director and shareholder whilst benefiting from the excellent support of a professional company. Our annual fee includes the cost of processing the company's Annual Return each year. Our one off fee is all-inclusive for the 12-month period with no hidden charges.
