Nominee Company Secretary in the British Virgin Islands

A Nominee Secretary will be a person acting as a company's secretary for the purpose of fulfilling the legal requirement to have a secretary. Nominee secretaries do not usually have an active role or function in the actual business of the company.

The secretary is recognised by the law as an officer of the company appointed by and responsible to the directors. The responsibilities of the secretary include mainly the maintenance of the statutory books and the minute books. A company secretary is not a requirement under the Act, but a secretary is normally appointed to facilitate signing obligations.

The usual duties of a Nominee Company Secretary include:

  • The nominee secretary does not take part in company affairs but will carry out the following statutory work as and when instructed.

  • Issuing share certificates and recording transfers of shares.
  • Maintaining the Register of Members and Debenture Holders.
  • Recording charges to be registered in the Register of Charges.
  • Convening of meetings of the company board and recording of minutes of meetings.

  • Filing changes documents at the Companies Registry.

A Company Secretary is responsible for compliance with those provisions of the Companies Acts which require the company to keep registers and make its affairs open to the public. A company secretary is also recognised by the courts as the chief administrative officer of the company. At the time of your Company Formation or at any time thereafter Coddan can be appointed as your company secretary if required.

If you are the only person who is to be involved in your company we can act as your nominee company secretary. The nominee secretary service is renewable every year. You will be contacted regarding confirmation of details re: the filing of the Annual Return, and renewal of the service.

  • It does not perform any secretarial duties, and does not become involved with operations of the company in any way.
