An IBC must have a Registered Office and a Registered Agent in the British Virgin Islands and a copy of its Shareholders Register has to be kept at the Registered Office but is not open to public inspection.
The Registered Agent is located in the Registered Address of the company in the BVI, his name and address should be filed with the Registrar of Companies. This information is publicly available. The Registered Agent must keep at the Registered Office the Register of Members, Register of Directors and all Minutes and Resolutions of the Company. If the resolutions about the changes are not carried out by, or in the presence of the Registered Agent, they should be submitted to the Registered Agent for due filing and registration. These files remain confidential and do not appear on the public record, but certainly they are available for inspection by Company shareholders.

Any document requiring authentication or attestation by the BVI company may be signed by a director, a secretary or by an authorised officer or agent of the company. The Registered Agent may verify the signature of any director authenticating or attesting any document on behalf of the company. The company will be bound by any document so verified by the Registered Agent.
The Registered Office should, as a minimum, retain for every the BVI company a copy of its Certificate of Incorporation, a copy of the Memorandum of Association, any amendments thereto, an imprint of the common seal and the original or copy of the Register of Members and Directors.
Even if a company determines to maintain its corporate records outside the BVI, it must deliver a copy of the Register of Members and Directors and any subsequent changes to the Registered Office. Please ensure this is done either direct to the Registered Office or through Coddan.
According to the new BVI Business Companies Act 2004, Registered Agent is required for all companies in the British Virgin Islands, regardless of their type and sphere of business operations. The requirement equally refers to onshore and offshore companies.
