BVI Company Formation Services

  1. International Business Companies. The British Virgin Islands (BVI) are an established and popular place to incorporate International Business Companies (IBC). The BVI IBC is very quick and simple to incorporate, it requires minimum administration, at the same time providing privacy, asset protection and limited liability.
  2. Holding Company. A BVI IBC may be used as a holding company of any kind of entity anywhere in the world. Such a structure enhances the owner's privacy, facilitates ultimate sale of the underlying business and may have other practical benefits in the course of day to day operations.
  3. Private Company Limited by Shares. An ordinary resident company limited by shares is usually formed for the purposes of carrying on local business. It must:
    • have two or more members;
    • restrict the transfer of its shares;
    • not invite the public to subscribe for its shares; and
    • must not have more than 50 members.
  4. Public Company Limited by Shares. A public company formed under the Companies Act is similar to a private company limited by shares except that it must have 5 or more members, and the restrictions listed above do not apply.
  5. Company Limited by Guarantee. Under the Companies Act, a company limited by guarantee must have a minimum of two members; the Memorandum of Association contains a statement of the amount up to which the members guarantee the company's debts. The Articles can provide for the members to have differing shares of the assets and liabilities.
  6. Limited Partnership (LP). BVI Limited Partnerships are governed by the Limited Partnerships Act 1996; as regards general partnerships this act reproduces almost exactly the common law provisions of the English Partnership Act 1980, but the clauses dealing with limited partnerships follow modern US Delaware precedent.
  7. Trust. The trust law of the British Virgin Islands is based on English trust law. The Trustee Amendment Act 1993 (the "Amendment Act") updated the original British Virgin Islands Trustee Act (itself largely based on the English Trustee Act 1925).

Nominee Services in the BVI

  1. Nominee Secretary. The secretary is recognised by the law as an officer of the company appointed by and responsible to the directors. The responsibilities of the secretary include mainly the maintenance of the statutory books and the minute books. A company secretary is not a requirement under the Act, but a secretary is normally appointed to facilitate signing obligations.
  2. Nominee Director. An attorney in the formation country will act as nominee director of the company (to the outside) and transfers all rights and obligations internally to the actual beneficiary (notarial deed of trust). The director does not have any account authority.
  3. Nominee Shareholder. A tax office in the formation country will act as nominee shareholder (to the outside) of the company and transfers all rights and obligations internally to the actual beneficiary (notarial deed of trust).
